Annual Operating Review
A manufacturing firm reviewing a year of managed contraction
Challenge
A Selangor-based manufacturer had deliberately reduced headcount and output over the preceding year in response to a changing client base. The principal wanted an external read on whether the operating decisions made during that period had been sound, and how the management team had functioned under pressure.
Engagement
An Annual Operating Review was conducted over five weeks, including two on-site sessions with the principal and senior leadership. We examined decision records, financial performance versus the stated targets from the prior year, and the pattern of management communication during the contraction period.
Outcome
The written review confirmed several decisions the principal had been uncertain about, and identified one area β the retention of a specific cost centre β where the rationale had not been clearly articulated internally. The report was subsequently used in a board briefing. The engagement concluded as scoped; no extension was required.
Pre-Investment Diligence Companion
A principal evaluating a minority stake in an established retail operation
Challenge
A Kuala Lumpur-based principal was in late-stage evaluation of a minority investment in a retail business. Legal and accounting advisors were engaged, but the principal felt the commercial case had not been scrutinised with the same rigour as the legal and tax dimensions.
Engagement
We were engaged as Diligence Companion for a two-week period prior to signing. Our focus was the commercial logic of the proposed arrangement β the fit between the principal's interests and the target business's operating model β and the structural terms governing the minority position.
Outcome
The written reflection identified a misalignment in the proposed exit mechanism that the principal's legal team subsequently revised before signing. The investment proceeded. The principal noted that having a separate, non-transactional perspective had given him more confidence in his decision than he would otherwise have had.
Sole-Founder Sounding Session
A solo founder twelve months into operating a professional services firm
Challenge
A professional services founder in Kuala Lumpur had built a stable client base but found that strategic decisions β whether to hire, whether to narrow the service offering, whether to pursue a particular sector β were being deferred indefinitely. With no co-founder or board, the thinking was happening in isolation.
Engagement
A six-month Sounding Session was established with monthly one-hour conversations, alternating between phone and in-person meetings in Kuala Lumpur. A brief written note was issued after each session summarising the main threads of discussion and any decisions or considerations that had been raised.
Outcome
By the third session, the founder had made two decisions β on hiring and on sector focus β that had been deferred for several months. The founder renewed the arrangement for a second year. When asked what had changed, she noted that having a regular, structured time for this kind of thinking had been more useful than having more information.
